These Terms of Use (“Terms”) govern your access to and use of the website located at https://nullaxiom.games/ (the “Site”), operated by NULL AXIOM LLC (“NULL AXIOM,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Changes

We may modify these Terms at any time. The updated Terms will be posted on this page with a revised effective date. Your continued use of the Site after changes constitutes acceptance of the updated Terms.

2. Eligibility and acceptable use

You may use the Site only in compliance with applicable law and these Terms. You agree not to:

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for personal, non-commercial use. No other rights are granted. You may not copy, modify, distribute, sell, or create derivative works from the Site or its content without our prior written permission, except as allowed by law.

“AI Singularity” and related game content described on the Site may be identified as a working title or pre-release concept; rights in final naming and branding remain with NULL AXIOM.

The Site may link to third-party websites or services (for example, social media). Those third parties are not under our control. We are not responsible for their content, policies, or practices. Use of third-party services is at your own risk.

5. Disclaimer of warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NULL AXIOM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

7. Indemnity

You will defend, indemnify, and hold harmless NULL AXIOM and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

8. Governing law and venue

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. You agree that the state and federal courts located in Ohio have exclusive jurisdiction over any dispute arising out of or relating to the Site or these Terms, and you consent to personal jurisdiction in those courts.

9. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms constitute the entire agreement between you and NULL AXIOM regarding the Site and supersede prior agreements on that subject. You may not assign these Terms without our consent; we may assign our rights without restriction.
